Terms of Use
The general terms that apply to everyone who visits or uses the Pickup Charter website and apps, and how they fit with our other terms and policies.
Updated 2 November 2026 · 27 min read
Version 3.0. Effective 2 November 2026.
In short
This plain language summary is for convenience only and does not form part of the binding terms. The numbered clauses below govern, and if this summary and a clause differ, the clause applies.
- These are the general terms for everyone, whether or not you have an account. Booking a trip, listing as an operator, working as crew, booking for a company and promoting Pickup each have their own terms, which prevail on their subject.
- Pickup is a booking platform, not a carrier. Independent licensed operators provide every trip, with their own price, rules and crew. An account or a booking is created only by a clear action, such as ticking a box, and we keep a record of it.
- Your account. You sign in with a one time code we email you, or with Apple or Google, and you never share a code. You can delete your account in the app, unless you have an active booking, a crew trip or an open case you opened. Deletion is immediate and cannot be undone, wallet credit is lost, and some records stay for 5 years by law.
- Use Pickup fairly. No fraud, scraping, bots, hacking, reverse engineering or taking bookings off the Platform. You answer for what you post. Our content is general information, not advice, and does not change any agreement.
- Our liability is limited. It is capped at the greater of the service fees you paid in the 12 months before the claim, or ₦100,000, and we are not liable for loss of profit or indirect loss. These limits do not apply to death, personal injury, gross negligence, fraud, or anything the Federal Competition and Consumer Protection Act 2018 does not allow us to exclude.
- Nigerian law applies, and disputes follow the terms for your role. Guests go to mediation at the Lagos Multi-Door Courthouse and then individual arbitration at the Lagos Court of Arbitration, and can opt out of arbitration by emailing legal@pickupltd.com within 30 days. Operators and crew go to individual arbitration. No class claims, as far as the law allows. Guests in the UK and EU keep their home courts. Everyone keeps the right to use a small claims court and to complain to the Federal Competition and Consumer Protection Commission (FCCPC) and the Nigeria Data Protection Commission (NDPC).
1. Who we are and what these terms cover
1.1 Who we are. Pickup Charter is a trading name of Pickup Technology Limited (also written PICKUP TECHNOLOGY LTD), a private company limited by shares incorporated in Nigeria under the Companies and Allied Matters Act 2020, registration number RC 9548096, registered office Lekki Phase 1, Lagos State, Nigeria ("Pickup", "we", "us", "our"). It is the only Pickup company.
1.2 What these terms cover. These Terms of Use ("Terms of Use") govern your access to and use of the Pickup website at pickupcharter.com, the Pickup mobile applications (the "Apps"), the Help Centre, the help chat and every related service we provide (together, the "Platform"), whether or not you have an account.
1.3 Who "you" is. "You" means any person who visits or uses the Platform. If you use the Platform for a company or other organisation, you confirm that you have authority to bind it, and "you" includes that organisation.
1.4 Consumers. A "consumer" in these Terms of Use is an individual using the Platform for purposes mainly outside their trade, business or profession. Where a clause gives consumers extra protection, it says so.
2. How our documents fit together
2.1 The structure. These Terms of Use are the general terms for everyone. The following apply in addition when you take on a particular role:
- the Guest Terms, when you open a guest account or make a Booking;
- the Operator Agreement, when you list a car, vessel or aircraft as an operator;
- the Crew Terms, when you work as a chauffeur, captain, crew member or pilot on Pickup;
- the Corporate Terms, when your company has a company account;
- the Affiliate Terms and Referral Terms, when you promote Pickup or refer friends; and
- the policies listed in our legal hub, each as it applies to you, including the Acceptable Use Policy, the Content Policy, the Intellectual Property policy and the Third Party Services Terms, which form part of these Terms of Use.
2.2 Order of precedence. Where the role specific terms in clause 2.1 deal with a subject (for example a Booking, a payment, a listing or a payout), they prevail over these Terms of Use on that subject. In every other respect these Terms of Use apply. The Privacy Policy and Cookie Policy explain how we handle personal data and prevail on that subject.
2.3 Defined words. Words with capital letters that are not defined here, such as Booking, Operator, Listing and Guest, have the meaning given in the Guest Terms.
3. How a contract is formed
3.1 Agreement by a clear action. An account, a Booking, an operator listing or any other agreement with Pickup is formed only by an affirmative act: ticking an unticked box, or tapping or pressing a button, that states that you agree, with links to the relevant terms shown beside it. At sign up the required box reads: "I am 18 or over and I agree to the Terms of Service, the Privacy Policy and the Dispute Resolution terms." In that wording, for a guest, "Terms of Service" means the Guest Terms, and accepting them includes these Terms of Use. We do not treat silence, browsing or continued use alone as agreement to role specific terms.
3.2 Visitors. By visiting or using the Platform without an account you agree to follow these Terms of Use and the Acceptable Use Policy. If you do not agree, do not use the Platform. Browsing does not create a contract for any Booking or service.
3.3 Records. We record each acceptance electronically with your user ID, the document and its version, the date and time, the app version, your IP address and the device used. We never overwrite a record; a new acceptance is added as a new record. You accept a new version of a document on the "We've updated our terms" screen when you next open the app. You can see the documents and versions you have accepted in Your consent history, in the app's legal settings.
3.4 Electronic records and signatures. You agree that an electronic record of your acceptance, and an electronic signature such as ticking a box, typing your name or pressing a button while signed in to your account, may be relied on as proof of agreement, and are valid and admissible in evidence under sections 84 and 93 of the Evidence Act 2011. We keep acceptance records in a system that can support the certificate section 84 requires. You may challenge the accuracy of a record, but not its admissibility only because it is electronic.
3.5 Electronic communications. You agree that we may give you notices, agreements and other information electronically, in the Apps, on the Platform or by email, and that these meet any legal requirement for them to be in writing.
4. Eligibility
4.1 Age. You must be at least 18 years old and able to enter into a binding contract to open an account or make a Booking. A person under 18 may not hold an account and may travel only as set out in the Guest Terms.
4.2 Restrictions. You may not use the Platform if the law prohibits you from doing so, if you are named on, owned or controlled by a person named on, or acting for a person named on, a sanctions list that applies to Pickup or its payment providers (including lists kept by the United Nations, Nigeria, the United Kingdom, the European Union or the United States), or if we have previously removed you from the Platform under the Account Suspension and Removal policy.
4.3 Where Pickup is available. Pickup is available in the cities shown in the App. Guests of any nationality may book. You are responsible for following the law of the place you use the Platform from.
5. Pickup's role
5.1 A technology marketplace. Pickup operates a technology marketplace that lets guests discover, book and pay for chauffeur driven cars, crewed boats and yachts, and private jet charter supplied by independent licensed operators. Flutterwave, a licensed payment provider, processes payments. Pickup collects them as each operator's limited payment collection agent, as the Payments Terms explain.
5.2 Not a carrier. Pickup does not provide transport and does not hold itself out as doing so. We are not a transport operator, taxi, ride hailing or e hailing operator, airline, air charterer, shipowner, travel agent, tour operator or insurer, and we do not employ any chauffeur, captain, crew member or pilot. Each trip is supplied by the operator under its own licences, and the contract for the trip is between the guest and the operator, as the Guest Terms explain.
5.3 No control of operators. Operators and crew are independent and are not Pickup's employees or agents. Pickup does not own, operate, crew, fuel, pilot or navigate any vehicle, vessel or aircraft. Operators control hiring, pay, shifts and whether to accept trips, and set their own price and rules. Expired licences or insurance suspend access automatically. In line with the Amended Regulation for On-line Hailing Business and Taxi Cab Operation in Lagos State (2023), Pickup does not control, direct or manage operators' vehicles or drivers except where a written contract expressly says so, and no Pickup document says so.
5.4 Licence category. For cars, Pickup operates in the car rental (chauffeur hire) category regulated by the Lagos State Ministry of Transportation: trips are booked in advance and scheduled with the operator, always with a chauffeur, and never hailed on demand. Pickup has applied for the Lagos State Service Entity Permit in the car rental (chauffeur hire) category. Operators hold every other licence a trip needs, including their own commercial transport and vehicle licences for cars, Air Operator's Certificates for jets and waterways and maritime permits for boats; Pickup does not claim to hold them. See Regulatory Information.
5.5 Verification. Pickup checks operators, crew and assets against the standards in Verification and Compliance before they can list, and keeps checking documents for expiry. Verification is a document check at a point in time. It is not an endorsement or a guarantee of any operator's performance.
5.6 No insurance. Operators hold their own commercial cover. Pickup checks the documents, does not sell insurance and names no insurer. You can ask the operator for its policy details before the trip, and claims for damage or injury are made first against the operator and its insurer. Pickup will share booking records to support a claim, and after an injury or severe property damage, the operator's insurance certificate details. See Insurance Information.
5.7 Emergencies. The Apps have safety features, including emergency contact alerts and "Are you OK?" check ins after a stop of 15 minutes. In-app safety features are secondary information tools and do not constitute an emergency response service. Pickup does not guarantee continuous, uninterrupted live monitoring, and automated prompts do not shift emergency response duties away from public authorities. In an emergency, call 112.
6. Accounts, sign in and security
6.1 Accurate details. You must give accurate information, keep it up to date, and hold only one personal account. You must not share your account, use someone else's account or open an account in a false name.
6.2 How you sign in. You sign in with a one time code sent to the email address on your account, or with Sign in with Apple or Google Sign-In. Codes are sent by email only, never by SMS, WhatsApp or phone call. A code works once and for a short time. Pickup staff, operators and crew will never ask you for a code; anyone who does is attempting fraud, and you should report it.
6.3 Sign in with Apple or Google. If you sign in with Apple or Google, that provider confirms who you are and its own terms apply to that step (see the Third Party Services Terms). If you use Apple's option to hide your email, we send account email to the relay address Apple gives us, and you must keep it forwarding to an inbox you can read.
6.4 Devices and sessions. Once you sign in on a device, you may stay signed in on it until you sign out. You may be able to unlock the App with your device's own biometric lock, such as Face ID; that check happens on your device and Pickup does not receive your biometric data from it. We may ask for a new email code when you sign in on a new device, after a period of inactivity, before sensitive actions (such as changing your email, payout details or deleting your account) or where we see a risk.
6.5 Your part. Keep the email account linked to your Pickup account, and the devices you are signed in on, secure. Sign out of devices you no longer use. You are responsible for activity on your account until you tell us it has been compromised, unless the activity results from our failure to keep reasonable security measures.
6.6 Tell us straight away. If you think someone has accessed your account, or you lose a device that is signed in, tell us through the App or at support@pickupcharter.com. We lock the account, end its sessions and re verify you before you can use it again.
6.7 Our security measures. We may require re verification, limit features, end sessions or temporarily lock an account where we see signs of compromise, fraud or misuse. Where it is safe and lawful, we tell you why.
7. Closing and deleting your account
7.1 How to delete your account. Guests go to Profile > Security > Delete my account in the App. It needs the code we email you and typing DELETE. Operators close the operator account first, and crew close the crew record first; each then deletes the guest account. If you cannot use the App, email privacy@pickupltd.com from the email address on your account with the subject "Delete my account", and we confirm it is you with a code sent to that email address. Delete your Pickup Charter account explains each step.
7.2 Before you delete. You cannot delete your account while you have an active booking, a crew trip or an open case you opened. Complete or cancel any booking first. Cancellations follow the Cancellation and Refund Policy. Ask your operator to take you off any crew trip, and wait until your open case is closed.
7.3 What happens. Deletion takes effect at once and cannot be undone. It erases your name, phone, date of birth, photo, home address, marketing data and sign in links, and any copies left go within 30 days. Wallet credit is lost. Financial, booking, tax and anti money laundering records stay for 5 years, restricted and separate from live systems, as the Privacy Policy sets out. Reviews you have posted may stay on the Platform without your name.
7.4 Closure by us. We may close an account under the Account Suspension and Removal policy, or under the dormant account rules in the Guest Terms.
8. Using the Platform lawfully
8.1 You must use the Platform only for lawful purposes and in line with the Acceptable Use Policy, the Community Standards and the Content Policy.
8.2 In particular, you must not: try to gain unauthorised access to the Platform, any account or any connected system; scrape, crawl or extract data, or use bots, scripts or automated agents, except as the Acceptable Use Policy allows; evade rate limits, security or access controls; reverse engineer the Apps except as the law allows despite this restriction; use stolen payment details or commit any other fraud; impersonate any person; or arrange trips or payments off the Platform in breach of the Off Platform Booking Policy, which applies for 12 months from your last contact or message through Pickup.
8.3 Some of this conduct, such as unauthorised access, interception, system interference, computer related fraud, identity theft and cyberstalking, may also be an offence under the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, as amended by the Cybercrimes (Prohibition, Prevention, etc.) (Amendment) Act 2024. We may report it to the authorities, as the Acceptable Use Policy explains.
9. Your licence to use the Platform
9.1 The licence. We give you a limited, personal, non exclusive, non transferable, non sublicensable and revocable licence to access and use the Platform, and to download and use the Apps on devices you own or control, for their intended purpose and in line with these Terms of Use. No other right is granted, and we keep all rights not expressly granted.
9.2 Updates. We may release updates to the Apps. Some updates are needed for the Apps to keep working or to stay secure, and an older version may stop working. We do not charge for the Apps.
9.3 App stores. If you got an App from the Apple App Store or Google Play, the app store terms in the Third Party Services Terms also apply.
9.4 End of the licence. The licence ends when your access ends under clause 16. Clause 16.4 sets out which terms continue after that.
10. Content and intellectual property
10.1 Ours. The Platform, its software, design, text, graphics, photographs, data and trade marks (including Pickup, Pickup Charter and Charter Elite) belong to Pickup or its licensors. Pickup, Pickup Charter and Charter Elite are trade marks of Pickup Technology Limited. The Intellectual Property policy sets out how they may and may not be used.
10.2 Your content. You keep ownership of content you submit and give Pickup the licence, and the consent about moral rights, described in the Intellectual Property policy. You confirm that your content is honest, that you have the right to submit it and that it does not infringe anyone's rights or break the law. Content must follow the Content Policy. Pickup is not the author of listings, reviews or messages submitted by others, does not adopt them, and is not responsible for them.
10.3 Notice and takedown. If you believe content on the Platform is unlawful or infringes your rights, report it in the App or follow the notice and takedown process in the Content Policy and, for copyright and trade marks, the Intellectual Property policy. A person reviews each report, and we remove or restrict content that breaks our policies or the law.
10.4 Feedback. If you send us ideas or suggestions about the Platform, we may use them freely and without payment.
11. Third party services
11.1 The Platform uses and links to services we do not control, such as maps, Flutterwave, our identity verification provider, Sign in with Apple and Google Sign-In, and app stores. Their own terms also apply when you use them, as the Third Party Services Terms explain. We choose them with reasonable care, but we are not responsible for third party websites or services we do not control, except where the law or our own breach or negligence makes us responsible.
12. Information on the Platform
12.1 General information only. The Help Centre, newsletters, the help chat and other content on the Platform are general information about Pickup and travel. They are not legal, financial, medical or professional advice, and you should not rely on them as such. The help chat is an automated AI assistant, and it says so. A person joins through "Talk to a person".
12.2 The terms govern. Nothing in the Help Centre, marketing or any other content creates a promise or changes any agreement. If such content and any terms or policy differ, the terms or policy apply. Help Centre articles link to the binding terms they describe.
12.3 Accuracy. We take reasonable care to keep information accurate and up to date, but it may contain errors or become out of date. Listings are written by operators and are their statements, not ours.
13. Availability of the Platform
13.1 We use reasonable efforts to keep the Platform available, but we do not promise that it will be uninterrupted, secure or free of errors. We may suspend, change or withdraw a feature for maintenance, security, legal or operational reasons. We do not materially reduce your rights under a confirmed Booking.
14. Disclaimers and our liability
14.1 What we never exclude. Nothing in these Terms of Use excludes or limits: liability for death or personal injury; liability for fraud or fraudulent misrepresentation; liability for our gross negligence or wilful misconduct; anything the Federal Competition and Consumer Protection Act 2018 does not allow us to exclude, and any right, remedy or guarantee it gives you as a consumer; or any other liability that the law does not allow to be excluded or limited.
14.2 Disclaimers. To the extent the law allows, the Platform and its content are provided "as is" and "as available", and we exclude warranties, conditions and terms implied by statute, common law or custom. This does not affect clause 14.1.
14.3 Losses we are not liable for. Subject to clause 14.1, Pickup is not liable for loss of profit, revenue, business, opportunity or anticipated savings, for loss that was not reasonably foreseeable to both you and us when you accepted these Terms of Use, or for any indirect or consequential loss.
14.4 Cap. Subject to clause 14.1, Pickup's total liability to you arising from your use of the Platform is limited to the greater of the Pickup service fees you paid in the 12 months before the claim arose and ₦100,000. A refund you are due under our terms is paid in addition and does not count towards this cap.
14.5 Operators' acts. Pickup is not liable for the acts or omissions of operators or crew, or for the transport service itself, which is the operator's responsibility under its contract with the guest. This does not affect clause 14.1 or any liability Pickup has for its own acts as a booking platform and payment collection agent.
14.6 Bookings and other roles. For Bookings, the disclaimers and liability sections of the Guest Terms apply, on the same basis as clause 14.4. For operators, crew, companies and affiliates, the liability provisions of their own terms apply.
15. Your indemnity
15.1 You agree to indemnify Pickup and its directors, officers and employees against losses, liabilities, fines and reasonable costs (including legal costs) arising from your breach of these Terms of Use, your unlawful use of the Platform, or content you submit that infringes another person's rights or breaks the law.
15.2 This indemnity does not apply to loss caused by our own breach, negligence or wilful misconduct. If you are a consumer, it applies only to loss caused by your breach, fraud or unlawful act, and only to loss that was reasonably foreseeable.
16. Suspension, termination and survival
16.1 We may suspend, restrict or end your access to the Platform as set out in the Account Suspension and Removal policy, including where you breach these Terms of Use, where the law requires it, or to protect the safety of others. Where it is safe and lawful to do so, we tell you why and how to appeal: within 30 days, decided within 14 days by a person not involved in the first decision.
16.1A Ending without a breach. We may also end these Terms of Use with you, or close your account, for any other valid reason on 30 days' notice. We may act immediately for a breach, fraud, a safety risk or a legal or regulatory reason. A confirmed Booking is either performed or refunded in full.
16.2 You may stop using the Platform at any time and delete your account under clause 7, subject to any Booking already confirmed.
16.3 Ending your access does not affect a Booking already completed, money already due, or rights and liabilities that arose before it ended.
16.4 Clauses 3.3, 3.4, 7.2, 7.3, 10, 14, 15, 16.3, 16.4, 19 and 20, and any other term that by its nature should continue, survive the end of these Terms of Use.
17. Changes to these Terms of Use
17.1 We may change these Terms of Use. For a material change, we give at least 30 days' notice on the Platform and, if you have an account, in the App or by email, stating the date the change takes effect. A change needed because of a change in the law, a regulator's direction, or a safety or security risk may take effect immediately. A change applies from its effective date and never to a Booking already confirmed.
17.2 Where a new version needs your acceptance, we ask for it with an unticked box on the "We've updated our terms" screen when you next open the App. If you do not agree to a change, you may stop using the Platform and delete your account under clause 7, including before it takes effect.
17.3 Each version is numbered and dated. Earlier versions are kept and we send you the version that applied at any time on request.
18. Compliance
18.1 Sanctions. You must not use the Platform in breach of any sanctions law that applies to you, to Pickup or to its payment providers. We and our payment providers screen users and payments, and we may refuse, hold or reverse a Booking or payment where the law requires it, as the Payments Terms explain.
18.2 Anti bribery. You must not offer, give, ask for or accept a bribe or any improper payment in connection with the Platform, including to or from a Pickup employee or a public official. Report any request of this kind to legal@pickupltd.com.
18.3 Anti money laundering. We and our payment providers may ask for information to meet the Money Laundering (Prevention and Prohibition) Act 2022 and the rules of the Central Bank of Nigeria, and may report suspicious activity to the Nigerian Financial Intelligence Unit without telling you where the law forbids it.
19. General
19.1 Notices to us. Every notice to Pickup under these Terms of Use is given by email to legal@pickupltd.com, or for privacy matters to privacy@pickupltd.com, and takes effect when received. Notices on paper are not valid notice. Contact Legal lists every address.
19.2 Notices to you. We give notices to you in the App or by email to the address on your account. A notice takes effect when sent, unless we receive a message that it was not delivered, in which case we send it again by the other route.
19.3 Assignment. You may not transfer your rights or obligations under these Terms of Use without our written consent. We may transfer ours to a successor in a merger, acquisition or reorganisation, provided your rights are not reduced, on at least 30 days' notice to account holders.
19.4 Severability. If any provision is found invalid or unenforceable, it is modified to the minimum extent needed to make it enforceable, or if that is not possible removed, and the rest of these Terms of Use continue in force.
19.5 No waiver. A delay or failure to enforce a right is not a waiver of it, and a waiver of one breach is not a waiver of any other.
19.6 Entire agreement. These Terms of Use, together with the documents in clause 2.1 that apply to you, are the entire agreement between you and Pickup about their subject. This does not exclude liability for fraudulent misrepresentation.
19.7 Third party rights. Only you and Pickup may enforce these Terms of Use, except that Pickup's directors, officers and employees may rely on clauses 14 and 15, and Apple may enforce the Apple terms in the Third Party Services Terms.
19.8 Relationship. Nothing in these Terms of Use creates a partnership, joint venture, employment or agency between you and Pickup, except Pickup's role as an operator's limited payment collection agent.
19.9 Language. Pickup is available in English. These Terms of Use are written in English. Any translation is for convenience only, and the English version governs.
19.10 Force majeure. Neither you nor we are liable for delay or failure caused by events beyond reasonable control, such as a government directive, natural disaster, epidemic, civil unrest, or a failure of public networks, power or a payment provider's systems, provided the affected party takes reasonable steps to limit the effect. This does not remove a refund that is due under our terms.
20. Governing law, disputes and complaints
20.1 Governing law. These Terms of Use, and any non contractual obligation connected with them, are governed by the laws of the Federal Republic of Nigeria, as applied in Lagos State.
20.2 Disputes. Disputes about an account, a Booking, a listing or an assignment are resolved under the dispute terms of the role specific terms that apply to you: the Complaints and disputes section of the Guest Terms for guests (support, then mediation at the Lagos Multi-Door Courthouse, then final individual arbitration at the Lagos Court of Arbitration, with a right to opt out by emailing legal@pickupltd.com within 30 days of first accepting them), the Disputes and governing law section of the Operator Agreement for operators, and the Disputes and governing law section of the Crew Terms for crew. Claims are brought only on an individual basis, never as a class or representative claim, to the extent the law allows, as those terms set out. For guest and crew claims taken to arbitration, Pickup pays the arbitral institution's and the arbitrator's fees, and each side pays its own lawyers unless the tribunal decides otherwise. Any other dispute under these Terms of Use goes to the courts of Lagos State. Court process is served on Pickup as the rules of the relevant court require, at its registered office, whose full address is on the public register kept by the Corporate Affairs Commission.
20.3 Consumer rights kept. If you are a consumer, nothing in these Terms of Use removes your right to use a small claims procedure, to complain to a regulator, or to bring proceedings elsewhere where the law does not allow that right to be excluded.
20.4 Guests resident in the UK or EU. If you are a consumer who lives in the United Kingdom or the European Union, you keep your mandatory consumer rights and your right to bring a claim in the courts of the country where you live, whether or not you opted out of arbitration under the Guest Terms. The class waiver applies to you only as far as those laws allow.
20.5 Complaints and regulators. We would like to resolve any concern directly. Our Dispute Resolution policy explains how. You may also complain to the Federal Competition and Consumer Protection Commission (FCCPC) about consumer matters and to the Nigeria Data Protection Commission (NDPC) about personal data. Nothing in these Terms of Use limits those rights.
